IMPORTANT: If you use any material relating to the A1GP World Cup of Motorsport (“A1GP”) on your website or link to www.a1gp.com, you will be using such material under and subject always to permission from A1 Holdings Limited ("AHL"). The full terms of this permission are set out below in the Third Party Guidelines. AHL may withdraw this permission at any time on notice to you. You must then immediately stop using any A1GP materials and/or comply with the other directions of AHL. You should also continue to check this page for updates and amendments to these Third Party Guidelines, as you will be deemed to have accepted and be subject to variations after they have been posted on www.a1gp.com.

1. WHO IS SUBJECT TO THESE THIRD PARTY GUIDELINES?
1.1 These Third Party Guidelines are issued by AHL and must be observed by any entity or person who runs a website or web page(s):
(a) that link to www.a1gp.com or any websites owned by AHL or any of its group companies (the "Websites");
(b) that refer to, comment on or otherwise feature in any way A1, A1GP, A1 Grand Prix, A1 Grand Prix of Nations, A1GP World Cup of Motorsport, the World Cup of Motorsport or any of the A1GP teams or individuals participating in any of A1GP’s series or events.
such person or entity under (a) or (b) above being referred to in these Third Party Guidelines as the "Permitted User".

2. PERMITTED ACTS
2.1 AHL grants the Permitted User a non-exclusive, limited, revocable right to:
(a) provide a hypertext reference link to the initial, top-level display of the Website (i.e. the "homepage"), as identified by the Uniform Resource Locator ("URL") http://www.a1gp.com, solely for non-commercial purposes and only for the purpose of linking the Permitted User’s website to the Website (the "Link");
(b) use the names "A1GP" and "A1GP World Cup of Motorsport" on their website strictly for non-commercial purposes and strictly in accordance with these Third Party Guidelines; and
(c) use the A1GP World Cup of Motorsport logo solely for the purpose of creating and describing the Link, such logo to be used in dimensions of 200 pixels wide and 42 pixels high and in a manner and form that makes it entirely clear that the A1GP World Cup of Motorsport logo is a link to the Website.
2.2 The names "A1", “A1GP”, "A1 Grand Prix" and "A1GP World Cup of Motorsport" together with the A1 Grand Prix, A1GP.com, A1 Grand Prix of Nations, A1GP World Cup of Motorsport and World Cup of Motorsport logos (the “Logos”) are trade marks which are owned or controlled by AHL. They are referred to in these Third Party Guidelines as the "A1GP Property".
2.3 AHL may from time to time make available a selection of photographs and news releases for use on a free of charge basis by bona fide media outlets for editorial, non-commercial purposes.

3. PROPRIETARY RIGHTS
The Permitted User acknowledges that the Website and its contents are proprietary to or licensed by AHL and protected under copyright, trade mark, design, database and other intellectual property laws.

4. THE A1 GRAND PRIX LOGO
If providing a Link, the Permitted User shall properly and accurately display the A1GP World Cup of Motorsport Logo in connection with any display and description of the Link on the Permitted User's website. The A1GP Property shall only be used in a form stipulated by AHL and the Permitted User shall observe any reasonable directions given by AHL as to the colours and size of representations of the A1GP Property and their manner and disposition on the website.

5. FURTHER LIMITATIONS AND REQUIREMENTS

5.1 The Permitted User shall not:

(a) with the exception of the A1GP Property (which may only be used as specifically set out herein), reproduce, transmit, display, publish, copy or distribute, without the express prior written consent of AHL, the Websites or their content (including without limitation, all text, images, software, media, present or future trade or service marks, trade names, designs, logos, names, data, databases, liveries, copyright works or other indicia or material whether registered or unregistered, and any other materials on the Website);
(b) in any way suggest that A1GP or AHL is endorsing any products or services other than its own or those of its official sponsors;
(c) misrepresent the relationship between the Permitted User and A1GP or AHL or present any other false information about A1GP or AHL;
(d) display or use a Link in a manner that causes the Website or any portion of its content to display within a frame, be associated with or displayed in proximity to any advertising or sponsorship, or otherwise incorporate Website content into a third-party website;
(e) display or use an inline link to any information file contained in the Website;
(f) alter, block or otherwise prevent display of any content of the Website;
(g) link to the Website through any other URL or mirrored website;
(h) link to the Website or use the A1GP Property if the Permitted User's website may reasonably be considered to be obscene, defamatory, harassing, offensive or malicious, or if the Website infringes or may reasonably be assumed to infringe any third party rights or otherwise does not comply with all applicable laws or regulations;
(i) defame or disparage A1GP or any of its teams, series, events, official sponsors and partners, participants or staff;
(j) use in relation to its website or otherwise any domain name featuring the phrases "a1gp", "a1grandprix", “a1gpworldcupofmotorsport”, "worldcupofmotorsport" or any colourably similar wording;
(k) use the A1GP World Cup of Motorsport Logo for any purpose other than the creation of a Link to the Website as set out hereunder;
(l) use a domain name that contains the words "a1," "a1gp", "a1grandprix,", "a1gpworldcupofmotorsport", “worldcupofmotorsport” or any hyphenated or misspelled variations in conjunction with any motorsport-related content; or
(m) use any mark, logo or name which is similar to the A1GP Property in respect of the website; or
(n) sell advertising space or linkage.
5.2 The Permitted User shall:
(a) display reasonably prominently on its website the following trade mark wording: "The names “A1GP" and “A1 Grand Prix" and the “A1 Grand Prix”, “A1GP.com”, “A1 Grand Prix of Nations”, “A1GP World Cup of Motorsport" and “World Cup of Motorsport” Logos are the trade marks of A1GP World Cup of Motorsport and are used by permission";
(b) promptly make such changes to its website as may be requested by AHL, provided that such changes relate to A1GP, AHL’s intellectual property (including the A1GP Property) or any of the A1GP series, teams, official sponsors and partners, events, participants or staff; and
(c) if requested by AHL, display prominently on each page of its website the following disclaimer: "Unofficial A1GP Fan Site".

6. LIABILITY
AHL excludes to the fullest extent possible all liability whatsoever in respect of all claims, whether in contract or tort (including negligence) or otherwise, arising out of or in connection with the content of the Website, these Third Party Guidelines or any other collateral contract, for any loss or damage directly or indirectly incurred, including, without limitation, for any loss of profit, anticipated profits, revenues, anticipated savings, goodwill or business opportunity, or for any other indirect or consequential loss or damage.

7. INDEMNITY
The Permitted User shall fully indemnify AHL for any loss or damage suffered by AHL or any of its group companies for breach of these Third Party Guidelines.

8. TERMINATION
8.1 Either party may terminate the permission granted by AHL hereunder for any reason whatsoever by giving written notice at any time, without prejudice to any rights accrued under these Third Party Guidelines.
8.2 Upon termination of the permission, the Permitted User shall immediately:
(a) discontinue or disable the Link;
(b) remove the Link and the Logos from the Permitted User's website;
(c) remove all references to and occurrences of the names "A1GP", "A1 Grand Prix", “a1gp.com”, "A1GP World Cup of Motorsport" and “World Cup of Motorsport” from its website; and
(d) destroy any copies of material from the Website which are in the Permitted User's possession, custody or control.

9. GENERAL
9.1 The invalidity or unenforceability of any provision of these Third Party Guidelines shall not affect the validity or enforceability of the remaining provisions.
9.2 No failure or delay on the part of either party to exercise or enforce any of its rights under these Third Party Guidelines shall act as a waiver of such rights.
9.3 AHL may, in its sole discretion and without any liability whatsoever to any Permitted User, amend, alter and/or modify any or all of, and/or withdraw in its entirety, these Third Party Guidelines at any time and without any reason and/or prior notice being given to any Permitted User, or any provision herein may be waived at any time by AHL in its sole discretion. It is the responsibility of each Permitted User to periodically check these Third Party Guidelines for any updates or amendments which have been made by AHL.
9.4 These Third Party Guidelines shall be governed by and construed in accordance with English law. Disputes arising out of or relating to these Third Party Guidelines shall be subject to the exclusive jurisdiction of the English courts.
